Idea

Introduction

We're not a marketing company, so if you want romance copy can I suggest you go elsewhere, perhaps a library?

We're a distillery. We make our own gin and our own whiskey. I know, revolutionary.

We value the traditional skills that shape the products we make.

We are the driven by the “what if? Possibility trumps certainty every time for us. It drives not just what we chose to do, but how we do it and ultimately the spirits we
make.

This has resulted in us winning numerous globally recognised spirit awards. Most recently double gold in San Francisco.

Substantial accomplishments to date

2015 launched our first product, Blackwater Gin.

2016 launched Boyle's Gin exclusively into the ALDI Ireland. Since then Boyle's Gin has been sold as a seasonal product in ALDI Australia stores.

2018 we opened a brand new distillery.

2019 secure a local grain policy.

2019 we launch a range of Boyle's Gin RTDs.

2021 launched Velvet Cap, a blended Irish whiskey.

2021 win Double Gold for Boyle's Gin at San Francisco World Spirits Competition.

2022 Blackwater products are now in 9 markets.

2022 Q2 Velvet Cap single malt is launched.

2022 Q2 Root & Branch Gin launched, a modern gin profile with a tree planted for each bottle sold.

2023 Dirtgrain traditional pot still Irish whiskey set for core release.

Monetisation strategy

Blackwater Distillery gets its products to market in Ireland via some of the country's largest distributors. White spirits are represented by Barry Fitzwilliam and Classic Drinks. Irish Whiskey by Dalcassian. These distributors get our products into independent off-licenses, and into the on-trade across the island. Also, our products are sold in the three leading supermarkets, Tesco Ireland, Dunnes Stores, and SuperValu.

We directly supply ALDI Ireland with Boyle's Gin, also seasonally with RTDs, Puca Irish whiskey. Products are also currently supplied seasonally to ALDI Australia.

Our whiskey and gin are also available in airports in the Republic of Ireland.

Blackwater products are now available in Germany, Denmark, Australia, USA, Poland, Canada, Sweden

shortly also in the UK, France, and the Netherlands.

Use of proceeds

100% of the proceeds will be used to produce more Irish whiskey and sell it.

Grain and casks cost a lot, and remember we can't sell a drop of whiskey until it's at least three years old. That's a lot of cash that's tied up, doing nothing. So with your help, we can lay down more stock and have more whiskey to sell. We can also spend more time focusing on our key markets, and selling whiskey.

Key Information

Material Debt

The company has an outstanding loan of £100,000 from Allied Irish Banks with an interest rate of 2.75% per annum. The loan is to be repaid by January 2027.

The funds raised from this investment round will not be used to repay this loan.

Previous Investment

The Swiss firm DDSB AS took a minority share in Blackwater Distillery for €2 million back in December 2021, at a pre-money valuation of €9.5m. This investment was at a lower valuation to this round due to strategic value they bring.

Lead Investment

Please note, €160,000 of investment that has been reflected in the campaign has been received by the company between 12/01 and 31/01 2022. This investment is on the same terms as Seedrs investors.

  • Equity
  • Convertible

  • Secondary

Investing in a regular equity campaign is the simplest and most common way to invest in a startup. You decide which business you want to invest in, and if the campaign hits its funding target then you will become one of their shareholders. As the company becomes more valuable, so do your shares; allowing you the opportunity to share in the future success of the business.

Equity Offered

The equity offered is the percentage of the company’s shares being issued in return for the amount of investment raised.

When the amount raised is less than 100%, the equity offered is based on the target raise. Once the company has raised over 100% it is based on the total raised.

In some scenarios, entrepreneurs may accept additional direct investment after closing their Seedrs campaign. Provided this is within 6 months of the closing and on the same terms, we do not typically offer pre-emption rights on that extra investment (where you have the opportunity to invest again to maintain your percentage shareholding).

Seedrs nominee

This shows if you are able to choose, when making an investment, that you be represented by, and your shareholding be managed by, the Seedrs nominee.

Custodian

If you invest in this Campaign, Seedrs will act as Custodian rather than provide our standard nominee service. This is due to the fact that the business is not directly involved in the share sale and Seedrs will not benefit from any rights under a shareholder agreement. As a result, Seedrs will handle administrative tasks as we do normally, but you will not have information or voting rights, updates from the business, preemption on future fundraising, or ongoing support about business trading activity.

Secondary market

This shows if the business has opted-in or opted-out of allowing its shares to be bought and sold on the secondary market.

Direct investment

This is an option to invest and hold shares 'directly' in the company (rather than via the Seedrs Nominee). This option is only available to those investing over the threshold amount, which is determined by the fundraising company.

If you choose to hold your shares directly, you will be responsible for any contractual or administrative arrangements with the company you are investing in.
