Threedium is primarily involved in the development of a free and premium software platform to create simple, easy to use, high quality, immersive 3D visual images for interactive digital environments.
The core of the service is a platform system designed for DIY high quality 3D image development, using assets and models in a range of file formats, that was recently launched in beta. The service is an algorithm backed web based SaaS product with structured pricing from freemium to enterprise.
Further information about this investment round is set out in the Key Information section. As this is a private campaign open only to existing shareholders, limited information is being provided at this time.
We believe that the democratisation of 3D is provided to users through being able to create and manage interactive 3D images, 3D advertising campaigns and 3D configurators on the web. Our system delivers lightweight 3D files with fast loading times, high render quality images and powerful and robust workflows between 3D desktop programs and web browsers, with an intuitive and easy-to-use user interface.
In recognition of the nascent level of 3D in both e-commerce, brand/product demonstration and advertising options Threedium currently provide an end to end service to make this solution work in any vertical. 3D files can be sourced through library relationships for brands and companies that do not yet have their own CAD or similar files, or we may be able to create on request. Partnerships with CGtrader & Hum3D are in place and others also in the pipeline.

As you should now be aware, all of the shares in Frenzi Media have been acquired by Threedium, in exchange for an issue of shares in Threedium. Shareholders in Frenzi are now shareholders in Threedium. This campaign gives you, as a Frenzi investor, the chance to subscribe for further shares in Threedium if you wish.
SUMMARY OF SHARE EXCHANGE DETAILS:
• For every share held in Frenzi Media, you will have received approximately 0.048 shares in Threedium. These details have now been updated in your Seedrs portfolio.
FURTHER INVESTMENT IN THREEDIUM:
Threedium and Frenzi have received a term sheet for an investment into the combined business of up to €850,000 at a pre-money valuation of €4,000,000. This term sheet is non binding and subject to further diligence and contract.
OFFER TO SEEDRS SHAREHOLDERS:
As previously announced, Threedium has agreed to give the Frenzi Media investors the chance to either (i) participate in a new funding round at a discount to the price agreed with the external investor highlighted above; or (ii) to receive a one-time special dividend. Investors can choose one option only:
• Option 1: Frenzi Media investors are being given the option to subscribe for further shares in Threedium, ahead of the investment by High Tech Grunderfords and at a share price which is 30% lower than the share price set by the forthcoming investment round, via this campaign. There is a maximum allocation of £97,475.04 in this campaign, which if exceeded will mean that your investment may be scaled back. Please note, that the investment target is the maximum allocation for this specific campaign, and the campaign will complete regardless of the % of the target raised. If you invest in this campaign, you will be taken to have chosen Option 1 and will not be eligible for Option 2; or
• Option 2: Threedium will declare and pay a special dividend to Frenzi Media investors who choose not to participate in the above discounted subscription for further shares. This dividend will be equal to 50% of the original amount invested into Frenzi Media. After completion of this campaign, we will email shareholders who are eligible for Option 2 to determine whether you wish to take this up.
